Whenever a corporate desires some change within their existing by-laws or regulations, a formal process, know as a corporate resolution must be adopted by the Board of Directors the authorizes management to take action. Most states require the filing of corporate resolutions with the appropriate regulatory body. These resolutions can vary greatly in terms of topics. They can be used to create mergers or fire employees, issue stock or purchase equipment. Whatever the topic may be these resolutions are required to be kept and filed in most states.
